Procter & Gamble Co.

Jorge P. Montoya,divisional officer, exercised an option for 4,000 shares of common at $28.41 each Feb. 9 and Feb. 10, and sold them for between $87 and $88 each Feb. 9 and Feb. 10. Montoya now directly and indirectly holds 141,248 common.

John E. Pepper,chairman, disposed of, by gift, 3,038 shares of common at an unreported price from Feb. 10 to Feb. 23, and sold 9,058 shares for between $85.25 and $89.31 each from Feb. 10 to Feb. 23. He now directly and indirectly holds 831,155 common.
